CONDITIONS OF SALE

Capra NV ONLINE SHOP AND CORPORATE OFFICE

1. GENERAL

The following terms and conditions and any other related rules that are adopted by Capra NV and made available as provided herein (collectively the “Conditions of Sale”) shall apply to all sales of Capra NV products (the “Products”) that you (the “Customer” or “you”) may order from Swanky Ltd, trading as Capra NV a company existing under the laws of England and having its registered offices at
71-75 Shelton Street, Covent Garden. London WC2H 9JQ. (“Capra, Capra NV London or Capra NV” or referred to herein as “us”, “our” or “we”) either (a) on the Internet via Capra NV Website, identified by the domain “www.capranv.com (the “Website”).
These Conditions of Sale exclusively apply to sales made through the Website. Sales conducted through, Capra NV shop-in-shops or authorised Capra NV dealers are not subject to these Conditions of Sale.

Capra NV may modify the Conditions of Sale from time to time, at its sole discretion. The Conditions of Sale applicable to any order placed through the Website are those in force at the time that an order has been placed on your behalf by a Capra NV representative (in the case of an order placed through the company office or at the time you place your order (in the case of an order placed through the Website). In the case of an order placed through the Website, when you check the “I Accept” box at the order confirmation section of the Website before placing your order with Capra NV , you indicate your acknowledgment and full acceptance of these Conditions of Sale.

If you refuse to accept these Conditions of Sale, you will not be able to order any Capra NV products from the Website or the company office. Persons wishing to use the Company Office or the Website will also be deemed, by virtue of such use, to have agreed to be bound by our Website Terms of Use and our Privacy Policy, which are incorporated to these Conditions of Sale by reference.

2. PURCHASING ELIGIBILITY

Only individuals who (a) have reached the age of majority (eighteen), (b) have legal capacity to enter into contracts, (c) are living in the United Kingdom and d) are acting in a capacity that is unrelated to any business or professional activity may order Products through the Corporate office or on the Website. If you are under the age of majority or otherwise cannot lawfully enter into a contract, you must have your parent or guardian place an order on your behalf. Any orders placed in contravention to this provision and any related contracts made on the basis of such orders shall be null and void.

By placing an order through the corporate office or on the Website, you represent and warrant that you are a bona fide end-user customer and will not deliver, sell or otherwise distribute the Products or purchase Products for commercial purposes or any other commercial benefit. If Capra NV believes in its sole discretion that an order would be in breach of these Terms and Conditions, then Capra NV may refuse such order.

3. NATURE OF ORDERS

The display of Products on the Website constitutes no offer, but only an invitation to you to submit an offer to Capra NV. By placing your order, you submit an offer to us for the purchase of the chosen Product(s). This offer will then be processed by us according to the following provisions, in particular articles 6, 8 and 10 hereof. The purchase contract will be concluded only upon Capra NV’s acceptance by sending a written Confirmation of Order (see article 11).

4. PRODUCT AVAILABILITY; QUANTITY

All orders placed through the Website or corporate office are subject to availability and acceptance by Capra NV according to its free business decision.
Capra NV reserves the right to change the assortment of Products proposed on the Website or through the Corporate office and may, in particular, limit from time to time the quantity of the Products that may be ordered by a Customer in a single buying session. Orders may not exceed nine (9) pieces of the same product reference in any single buying session on the Website or through the Corporate Office.

The Product pages of the Website and corporate office can provide you with information regarding Products that are currently presented for sale through those channels. Please note that only the Products displaying an “Add to cart” button are available for sale through the Website and the corporate office. Capra NV reserves the right to change from time to time the assortment of items offered on its product pages.

5. ACCOUNT REGISTRATION; PERSONAL INFORMATION

In order to place an order through the Corporate office or on the Website, you or the Capra representative (on your behalf) will be required to register and create your online account. In order to register, you will be required to provide valid and up-to-date personal information, such as your full name, phone number and e-mail address.

Upon completion of your account registration on the Website or by the Capra NV representative, you will receive an email summarising the personal information and a link to the “My Account” section of the Website, whereby you will be able to set or change your user name, password and personal information. You are responsible for ensuring that your password and account login are kept secret, safe and secure at all times. Capra NV will not be held responsible or liable for any misuse of your account resulting from a third party’s access to and use of your password and account login.

We may change the information required to place a new order or the registration requirements from time to time. Any changes will be posted on the Website. Please refer to our Privacy Policy and article 9 of these Conditions of Sale for more details about how we may use your personal information.

Should any of the information you provide to the corporate office or on the Website change, please login to your account and update such information directly on the Website, inform the Corporate office or notify Capra NV at the following e-mail address: info@capranv.com or as set out in our Privacy Policy. Moreover, in the event that Capra NV reasonably believes that your account is being misused or has been accessed by a third party, Capra NV may cancel such account and/or temporarily or permanently terminate any activities on it and shall notify the same to you by email or telephone.

6. ORDERS

If you are ordering on the Website, orders will be processed as follows: once you have chosen a Product, click on the “Add to cart” button to place this Product in your “Shopping cart”. You may then decide to continue shopping for other Products and add them to your shopping bag (subject to availability and quantity limits) or proceed to checkout by clicking on the “Proceed to Checkout” button. You may also remove one or several Products you have selected by clicking on “Remove” next to the chosen Product in the Shopping Bag.

When ordering by telephone through the corporate office a Capra NV representative will follow the order process on your behalf.

When placing an order through the Corporate Office or on the Website, you will be required to provide other personal information as applicable, such as shipping address, billing address and payment details. You warrant that all personal information given to Capra NV is true and correct. Capra NV or its third party providers may collect additional information at this time for security and anti-fraud purposes.

Notwithstanding anything to the contrary provided for herein, Capra NV reserves the right to refuse, cancel and terminate orders at any moment in time. For example, Capra NV may refuse, terminate or cancel your order if there is an ongoing dispute concerning payment of a prior order or if Capra NV suspects that you have engaged in fraudulent activities or have otherwise violated these Conditions of Sale.

7. PRICES, TAX AND DELIVERY COSTS

All prices shown on the Product pages of the Website or quoted by the Corporate Office are in pounds sterling, including VAT, but excluding delivery costs and any other taxes, unless stated otherwise.

Capra NV reserves the right to modify prices and delivery costs at any time without prior notice. The price of a Product and delivery costs displayed on the Website or quoted by the corporate office, as indicated at the time Capra NV provides you with a Confirmation of Order, will be honoured by Capra NV.

Actual delivery costs and applicable VAT will be reflected on your order page before you are asked to confirm and place your order (in the case of a Website order), or will be quoted by the Corporate Office (in the case of a telephone order), and will also appear on your Confirmation of Order and invoice (if you choose to receive an invoice). Delivery costs, if any, are described in the delivery policy set forth below.

Please note that in case of changes to the applicable VAT rates between the date your order is placed and the date Capra NV is ready to ship your order, we will contact you and ask you to reconfirm your order. If Capra NV cannot obtain your instructions, Capra NV will cancel the order and notify you of such cancellation.

8. REVIEW AND CONFIRMATION BY CUSTOMER

Our Website ordering process allows you to check and amend any errors in your order before submitting your order to us. You should carefully check all details before placing your order through the Corporate office or on the Website, including without limitation the particulars of each sale, which will be provided by the Capra NV representative (in the case of an order being placed through the Corporate office) or the Website (in the case of an order being placed through the Website).

When you have completely reviewed your offer to purchase, check the box next to “I have read and I accept” to indicate your agreement to be bound by these Conditions of Sale, and then click on the “Place order” button on the Website to place your order.

By placing an order through the Website, you are submitting an offer to Capra NV to buy the Products you have placed in your “Shopping Cart ”.

9. PAYMENT METHODS

Capra NV accepts the following payment methods: Visa, MasterCard and American Express credit cards a United Kingdom billing address. We also accept international Visa, MasterCard and American Express credit cards from selected countries, provided that your shipping address and residence address are registered where you live.

When ordering on the Website, you will need to enter your payment details on the appropriate form. If you order by telephone, you will need to communicate to the Corporate office your payment card number and your three-or four- digit security code that is printed on the back or the front of your card (CVV2/CVC2/CID). Your telephone conversation may be monitored or recorded for security reasons or quality assurance purposes. Capra NV will never otherwise store your payment card number and your three- or four- digit security code. Please refer to our Privacy Policy for more details about how and how long we may use or keep your personal information.

All payment card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to authorise payment to Capra NV, you will need to contact your card issuer directly to solve this problem, and Capra NV will not be liable for any delay or non-delivery.
In order to process your order, we may perform a pre-authorisation of your payment card. The amount of your purchase will be blocked on your payment card until your order is shipped to the delivery address you have provided to Capra NV, at which time you will be sent a Confirmation of Order and your payment card will be charged the applicable purchase price. By submitting an offer to purchase the Products on the Website or through the Corporate office, you expressly authorise Capra NV to perform such payment card pre-authorisation and, where Capra NV deems necessary, to transmit or to obtain information (including any updated information) about you to or from third parties, including but not limited to your payment card number, to authenticate your identity, to validate your payment card, to obtain an initial payment card authorisation and to authorise individual purchase transactions.

Capra NV takes precautions — including administrative, technical, and physical measures — to safeguard your personal information against loss, theft, and misuse, as well as against unauthorised access, disclosure, alteration, and destruction. Capra NV uses Secure Sockets Layer (SSL) encryption on all web pages where personal information is collected. Unfortunately, transmitting information over the Internet is not completely secure.

Although we take all reasonable measures to protect your personal Information throughout the on-line selling process, we cannot guarantee the integrity and security of the data you transmit to the Website and Capra NV cannot be held liable for any harm or loss resulting from the use of the internet network, such as in the case of hacking, occurrence of a trojan horse or computer virus, that may occur despite our taking such measures to protect the security of your data. In order to secure your transaction and prevent fraud, Capra NV will perform a payment card and anti-fraud check. By placing your order, you will be deemed to have authorised Capra NV to perform such checks and, where Capra NV deems necessary, from time to time to transmit or obtain information that you have provided to Capra NV about you in order to authenticate your identity, to validate your payment card, to obtain an initial payment card authorisation and to authorise a particular purchase transaction.

10. ACKNOWLEDGMENT OF ORDER

Once you have placed your order through the Corporate office or on the Website, you will receive an Acknowledgement of Order by email acknowledging the details of your order. This Acknowledgement of Order will contain an Order Reference Number assigned by Capra NV. Please make sure that you save this Order Reference Number for any future enquiries regarding your order. This Acknowledgement of Order is not an acceptance of your order. Following the transmission of the Acknowledgement of Order, Capra NV will conduct its usual security and anti-fraud checks and then process your order.
When ordering by telephone through the Corporate office, you will also receive by email these Conditions of Sale along with the Acknowledgement of Order. Please carefully review these Conditions of Sale upon receipt.

11. CONFIRMATION OF ORDER BY CAPRA NV

Upon shipment of the Products you have ordered, following completion by Capra NV of its anti-fraud and security checks, Capra NV will send you by email a written Confirmation of Order. The Confirmation of Order constitutes the acceptance of your order by Capra NV and creates a binding sales contract.

12. PERSONALISED PRODUCTS

Engraving is available for all presentation boxes.
If you wish to have your Presentation box engraved, please provide the details on the Website or to the Capra NV representative.

Personalised Products cannot be returned to Capra NV for exchange or refund. Further, the right to cancel does not apply to personalised products. However, this will not affect your legal rights as a consumer in relation to personalised Products that are faulty or not as described.

Capra NV reserves the right to withhold or refuse acceptance of any order for engraved Products that contains language that is objectionable or unlawful.

13. DELIVERY POLICY

We deliver to addresses worldwide (please see list on Website) Please note that Capra NV does not ship to PO boxes, military addresses or hotels.
Delivery costs will be assessed by Capra NV and will be added to the price of the Products themselves. The cost of delivery will be calculated according to the purchase value of your order as indicated in the table below. During certain promotional phases, complimentary delivery may be offered.

When estimating package delivery time, please allow time for credit approval, address verification and order processing. Once the order is processed and ready for dispatch, we will send you the Confirmation of Order by email. You can access a courier, DHL or Fed EX tracking number that will allow you to track the status of your order online by logging into the order history of your account.
We will use reasonable efforts to ensure the following estimated delivery lead times from the date of acceptance of your order:

* Saturday and Sunday will not be considered as a regular business day with respect to estimated delivery time. Delivery on Saturday may however be proposed as a service to specific post codes by the Corporate office.
Please note that in certain cases, for example if you have requested engraving, delivery may be delayed. In such cases, the Corporate office will contact you to propose other arrangements.

Each delivery package will contain, in addition to your purchased Product: (i) all related accessories, if any, (ii) the document holder including the Product Manual (if any), as applicable, the Certificate of Authenticity (if any) and the Service Guide (including Capra NV’s International Guarantee); and (v) a delivery note that indicates the Order Reference Number.

Capra NV ensures each purchase during the time it is in transit until it is delivered to you. We require a signature by a person who has reached the age of majority to confirm your acceptance of each Product delivered, at which point risk and responsibility for your purchased Products pass to you. If you have specified a recipient who is not you for delivery purposes (for example as a gift) then you understand and accept that evidence of a signature by such recipient (or at that delivery address) is evidence of delivery and fulfilment of the sales contract by Capra NV and transfer of risk and responsibility to the recipient in the same way as if the Product had been delivered to you.

14. INVOICES

When ordering Products on the Website or through the Corporate office, you, as the Customer, will receive an invoice by e-mail. The invoice will also be available in the “My Account” section on the Website, provided you are a registered Customer. You have the option to receive an invoice to your billing address by regular mail by calling the Corporate office (01536524240) at any time during opening hours, subject to proper identification.

If you purchase a Product as a gift for a third person (“Gift Recipient”), the invoice will be sent to your email address and stored in the “My Account” section, provided you have registered an account with Capra NV.com. Capra NV will never send the invoice and payment details to the Gift Recipient.

15. YOUR CANCELLATION RIGHTS AND RETURN POLICY

Without limiting in any way your rights under English law and to make the return process easier, a Customer (not a gift recipient) may return Products in accordance with the return and exchange policy set forth below.
Details of your legal right to cancel and an explanation of how to exercise are provided in the Confirmation of Order and in section 15.6 below.

15.1. RETURN PERIOD
The Customer is entitled to cancel the contract and unequivocally inform Capra NV that she or he does not wish to keep a Product purchased on the Website or through the Corporate office (i) at any time before Capra NV sends the Confirmation of Order; or (ii) within fourteen (14) days after the Product has been received (“Return Period”), in accordance with applicable law and the terms and conditions set forth below. No returns will be accepted by Capra NV after the Return Period.

15.2. RETURN PROCESS

Items cannot be returned to a Capra NV boutique or an authorised Capra NV dealer. Products that were not purchased on the Website or through the Corporate office may NOT be returned to the returns office. Please also refer to the returns policy.

Include the Product, all its accessories, the Product Manual, the Certificate of Authenticity (if any), the Service Guide (including Capra NV’s International Guarantee) and all other documents in the original box and seal the delivery package.

You are responsible for the cost of returning the Product to Capra NV. You must take reasonable care to ensure that the Product is correctly addressed, adequately packaged, bears adequate postage and reaches Capra NV safely and is not damaged or lost in transit. Capra NV also recommends that you insure the Product against such risks of damage or loss up to the full price of the Product.

The Customer shall send back the Product to the Corporate office without undue delay and in any event not later than 7 (7 days from the day on which he or she unequivocally informed Capra NV that he or she does not want to keep the Product. Any failure to do so may delay any reimbursement that the Customer may be entitled to receive. Any failure to return the original Capra NV Box or special packaging in proper condition will entitle Capra NV to withhold the corresponding value from such reimbursement.

We recommend the Customers to keep a proof of return shipment.
Upon receiving a return, Capra NV will verify that the returned Product satisfies the conditions of the return policy.

15.3. RETURNING A PRODUCT FOLLOWING CANCELLATION
The Products shall be returned in an unused state and in perfect condition, with all protective materials in place and tags, dongles and stickers attached to them subject to quality inspection and functional testing as defined below. You must take reasonable care of the Product when examining it. With regard to any deterioration of the Product, compensation is only due if the deterioration is caused by a use beyond the ordinary quality inspection and functional testing of the Product. “Quality inspection and functional testing” is understood to mean the testing of the Product as one would usually do in a retail outlet. Any failure to return the original Capra NV Box or special packaging in proper condition will entitle Capra NV to withhold the corresponding value from such refund.

Personalised Products cannot be returned to Capra NV for exchange or refund. Further, the right to cancel does not apply to personalised products. However, this will not affect your legal rights as a consumer in relation to personalised Products that are defective or not as described.

All returns will be subject to strict Quality Control (QC) by Capra NV to ensure that the returned Product satisfies these requirements. If the Product does not meet QC standards, Capra NV may claim damages from the Customer.

15.4. REFUND
Should a Product be returned, only a Customer will be entitled to receive a refund. In no event will a Gift Recipient be entitled to receive a refund.
Capra NV shall not be required to reimburse the return delivery cost.

The purchase price of the Product and the costs of its delivery to you will be refunded to Customer’s payment card no later than fourteen (14) days of receiving the Product back or receiving proof that the Product has been sent back.

15.5. EXCHANGE
Customer may be permitted to exchange a Product purchased on the Website or through the Corporate office for another Product if the Product to be exchanged satisfies the conditions of the return policy.

Capra NV will send an invoice to the Customer which specifies the value of the returned Product, the price of the Product for which the original Product has been exchanged and the difference to be paid by Customer or the amount that the Customer is entitled to receive, as indicated below.

Should a Product be returned for exchange to the Corporate office by the Customer, the original order will be cancelled and the Customer will be entitled to receive a refund of the price difference if the Product to be exchanged is more expensive than the desired Product or will be charged the price difference if the Product to be exchanged is less expensive than the desired Product. A new order will be placed in accordance with these Conditions of Sale with respect to the exchanged Product.

15.6 RIGHT TO CANCEL

Right to cancel

You have the right to cancel this contract within 14 days without giving any reasons.

The cancellation period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods.

To exercise the right to cancel, you must inform us,

To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

Effects of cancellation
If you cancel this contract, we will reimburse to you all payments received from you, including the costs of delivery (except for the supplementary costs arising if you chose a type of delivery other than the least expensive type of standard delivery offered by us).

We may make a deduction from the reimbursement for loss in value or any goods supplied, if the loss is the result of unnecessary handling by you.
We will make reimbursement without undue delay, and not later than –
(a) 14 days after the day we receive back from you any goods supplied, or
(b) (if earlier) 14 days after the day you provide evidence that you have returned the goods, or
(c) if there were no goods supplied, 14 days after the day on which we are informed about your decision to cancel the contract.
We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
You will have to bear the direct costs of returning the goods.

Exclusions

Products not purchased through the Corporate office or the Website may not be returned to the Corporate office.

Pursuant to the Consumer Contracts Regulation 2013, Reg. 28 (1) contracts for the supply of personalised Products, like Products specifically engraved for you, are exempt from cancellation rights.

Should a Product be returned to the Corporate office, only a Customer will be entitled to receive a refund. In no event will a Gift Recipient be entitled to receive a refund.

16. CAPRA NV INTERNATIONAL GUARANTEE

The following Capra NV International Guarantee applies to Capra NV Products sold or presented for guarantee service in any country (excluding United States of America, Canada and Australia).

What the Capra NV International Guarantee Covers and For How Long
Your Capra NV Product has been manufactured according to the high quality standards of Capra NV, with all the care and patience dedicated to them by our devoted craftsman. Nevertheless, the Capra NV Product is covered by this Capra NV International Guarantee against defects in manufacturing and materials. Please contact one of the authorised Capra NV boutiques, Capra NV dealers located around the world NV boutiques, they will be able to provide guarantee service as defined herein.

Capra NV warrants its product against defects in materials and manufacturing for a period of two (2) years from the date of purchase (the “Guarantee period”). If the product is returned during the Guarantee period, Capra NV will repair or replace any defective Capra NV Product or part free of charge within a reasonable time after the product is returned, subject to the right to charge for shipping costs. Upon expiration of the Guarantee period, any repairs will be subject to a service charge.

16.1 NON-CONFORMING PRODUCT
Capra NV is extremely cautious in ensuring that each Product strictly complies with our quality criteria and that it has passed all our controls, both technical and aesthetic.

If nevertheless you or the Gift Recipient receive a Product which seems defective or are not as described on the Website (“Non-conforming Product”), you or the Gift Recipient may return it to Capra NV as per the return process outlined above. Upon receipt, Capra NV may classify the Product as a defective Product. Please note that Products that are damaged as a result of wear and tear are not considered to be defective.

If Capra NV concludes that the Product is a Non-conforming Product, you or the Gift Recipient, as applicable, may require Capra NV to:
(i) Replace it with an identical Product, subject to availability;
(ii) Repair the Product (if such repair is commercially reasonable); or
(iii) Refund the full price of the Product to the Customer (not to the Gift Recipient).

Capra NV may also (but is not obliged to) offer to exchange the Non-conforming Product for another Product of equivalent value or of greater value (in the latter case, subject to the payment by the Customer of the price difference). Such exchange shall be made in accordance with the exchange rules of these Conditions of Sale.

If you or the Gift Recipient do not agree with Capra NV’s conclusion as to whether the Product is a defective Product, Capra NV may (but is not obliged to) carry out further independent testing and inspection. You or the Gift Recipient will be charged for this inspection if the inspector concludes that the Product was not defective. This, however, does not affect your statutory rights. In addition to your statutory rights and while making every effort to ensure that each Product strictly complies with our quality criteria Capra NV grants the below Capra NV International Guarantee.

16.2. CAPRA NV INTERNATIONAL GUARANTEE
The following Capra NV International Guarantee applies to Capra NV Products sold or presented for guarantee service in any country (excluding United States of America, Canada and Australia).

What the Capra NV International Guarantee Covers and For How Long
Your Capra NV Product has been manufactured according to the high quality standards of Capra NV, with all the care and patience dedicated to them by our devoted craftsman. Nevertheless, the Capra NV Product is covered by this Capra NV International Guarantee against defects in manufacturing and materials. Please contact one of the authorised Capra NV boutiques, Capra NV dealers located around the world Capra NV boutiques, they will be able to provide guarantee service as defined herein.

Capra NV warrants its product against defects in materials and manufacturing for a period of two (2) years from the date of purchase (the “Guarantee period”). If the product is returned during the Guarantee period, Capra NV will repair or replace any defective Capra NV Product or part free of charge within a reasonable time after the product is returned, subject to the right to charge for shipping costs. Upon expiration of the Guarantee period, any repairs will be subject to a service charge.

How to Obtain Service

You may obtain service by bringing or sending the Capra NV Product to your authorised Capra NV boutique or Capra NV dealer. You are responsible for transportation costs, including but not limited to postage, insurance and packing materials. We recommend that any shipments to us include certified delivery and insurance.

In order to obtain service through this Capra NV International Guarantee, the returned Capra NV Product must be accompanied by the original Guarantee Certificate that was included with the Capra NV Product at the time of purchase, duly completed, dated, stamped and signed by an authorised Capra NV boutique or Capra NV dealer. Such Guarantee Certificate may only be completed by an authorised Capra NV boutique or Capra NV dealer.
What is Not Covered under the Capra NV International Guarantee
The Capra NV International Guarantee does not cover:
(a) defects and damages due to loss, theft or fire or other causes beyond our control;
(b) defects and damages resulting from misuse or negligence, or from accident;
(c) defects and damages caused by improper use (knocks, dents, crushing, etc.), alterations, tampering, dismantling or services and repairs completed by anyone else than an authorised Capra NV boutique, Capra NV dealer or Capra NV service centre, or by the use of components or accessories (such as bottled ink or cartridges) other than those produced or recommended by Capra NV;
(d) defects and damages due to normal wear and tear;
(e) Capra NV Products where the serial number is removed (Where applicable) or not clearly legible, or where any part of the original Capra NV Products has been removed, changed, altered, replaced, erased or defaced.
(f) routine maintenance and cleaning.

How State and Other Laws Apply

The Capra NV International Guarantee gives you specific legal rights, and you may also have other rights which vary from one country, province or territory to another.

For more information and a complete list of authorised Capra NV boutiques, Capra NV dealers and Capra NV service centres, please consult the Capra NV website www.Capra NV.com or ask the authorised Capra NV boutique or Capra NV dealer indicated on your Guarantee Certificate or in your sales documentation.

18. ACCURACY OF PRICING, PRODUCT DESCRIPTION
IF A CAPRA NV PRODUCT’S CORRECT PRICE IS HIGHER THAN THE PRICE POSTED ON OUR WEBSITE, THEN CAPRA NV WILL CONTACT THE CUSTOMER FOR INSTRUCTIONS BEFORE DELIVERING THE ORDER. IF CAPRA NV CANNOT OBTAIN INSTRUCTIONS, CAPRA NV MAY REJECT THE ORDER AND NOTIFY YOU OF SUCH REJECTION.

19. AGREEMENT

These Conditions of Sale (as amended from time to time), including policies incorporated herein, constitute the agreement between you and Capra NV regarding your purchase of Products through the Corporate office or the Website.

19.1 SEVERABILITY
In the event that any provision of the Conditions of Sale shall be determined to be partially void or unenforceable by any court and for any reason whatsoever, it shall be void or unenforceable to that extent only and no further and the validity and enforceability of any of the other provisions of the Conditions of Sale shall not be affected.

19.2 GOVERNING LAW AND JURISDICTION
These Conditions of Sale are governed by English law. This means the contract for the purchase of the Products and any dispute or claim arising out of or in connection with it will be governed by English law. You and we agree to that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.
